The Deal Management Process (DMP) is designed to help companies create the documents necessary to comply with state and federal securities laws concerning private equity transactions in the United States. Similar in function to websites that ask individuals a series of questions about their taxes and then print out IRS form 1040, DMP guides business owners through a series of financing related questions and then allows them to print all of the major forms required to complete a private placement. These forms include:
- * SEC Form D (federal notification)
- * SCOR Form U 7 (state notification)
- * Research Report
- * Term Sheet
- * Private Placement Memorandum
In addition, the questions asked and answered on the DMP web site will allow the creation of a "company page", similar to Facebook or MySpace homepage, that will allow companies to introduce themselves to private equity investors in a secure, regulatory compliant website called Private Equity Stock Evaluation (www.pese.com). Confidentiality is a high priority, with access to PESE password protected and restricted to accredited investors with whom we have a substantive relationship. Furthermore, companies have the ability on PESE to show only a limited amount of information to investors who find their company page, and more information only after an emailed expression of interest from an investor is approved by the company.
